LEGAL
Terms of Service
Effective Date: October 28, 2026
These Terms of Service ("Terms") govern delivery, courier, logistics, technology and related services provided by RoadRunner Operations LLC ("RoadRunner," "Operator," "we," "us," or "our").
These Terms apply to services requested through RoadRunner24.com, a RoadRunner web or mobile application, telephone, email, API, integration, business account or other RoadRunner ordering method.
By creating an account, requesting or accepting a quote, submitting a delivery request, clicking to accept these Terms, or otherwise using RoadRunner services, you agree to these Terms.
If you use RoadRunner on behalf of a business or organization, you represent that you are authorized to bind that entity.
1. RoadRunner Operations LLC and Incontestable Holdings LLC
RoadRunner Operations LLC is the entity providing or arranging RoadRunner delivery and logistics services and is the contracting party for those services.
Incontestable Holdings LLC is a separate legal entity that owns the ROADRUNNER® trademark and certain related intellectual property. ROADRUNNER® is used by RoadRunner Operations LLC under authorization or license from Incontestable Holdings LLC.
Unless expressly stated in a separate written agreement, Incontestable Holdings LLC:
does not accept delivery orders;
does not transport or take custody of packages;
does not dispatch or supervise Runners;
does not determine delivery routes;
does not process customer payments;
does not provide transportation services; and
is not the contracting carrier or delivery-service provider.
Nothing in these Terms creates a partnership, joint venture, agency, employment relationship or other operational relationship between a customer and Incontestable Holdings LLC.
To the maximum extent permitted by law, Incontestable Holdings LLC will not be responsible for claims arising solely from the performance or nonperformance of delivery or logistics services by RoadRunner Operations LLC, a Runner, carrier or third-party service provider.
Incontestable Holdings LLC is an intended third-party beneficiary of the provisions of these Terms concerning intellectual property, limitations of liability, misuse of RoadRunner technology, disclaimers and protections of the ROADRUNNER® brand.
2. RoadRunner Services
RoadRunner provides or arranges local, same-day, scheduled and other courier and logistics services within active service areas.
Service availability may depend on:
pickup and delivery location;
distance;
requested timing;
item characteristics;
size and weight;
access requirements;
vehicle requirements;
Runner availability;
weather and traffic; and
other operational conditions.
Submitting a delivery request does not guarantee acceptance.
A delivery becomes confirmed when RoadRunner accepts the request or otherwise provides an order confirmation.
RoadRunner may use employees, independent contractors, Runners, affiliates or third-party delivery providers to perform or assist with deliveries.
RoadRunner may refuse, suspend or cancel a delivery where RoadRunner reasonably believes the delivery would be unsafe, unlawful, fraudulent, impractical, outside RoadRunner's capabilities, materially different from the information provided, or otherwise inappropriate for transport.
3. Quotes and Pricing
Quotes are based on the information supplied when the delivery is requested.
A quote is subject to availability until accepted and may be withdrawn or updated before acceptance.
Once a delivery is accepted, RoadRunner will honor the quoted price except where:
information supplied by the customer was inaccurate or incomplete;
the pickup or delivery location changes;
the size, weight, quantity or nature of the items differs materially;
additional stops are requested;
unusual waiting time occurs;
parking, tolls, access charges or other third-party costs arise;
additional labor or equipment becomes necessary; or
the customer requests additional or changed services.
Where reasonably practical, RoadRunner will disclose material additional charges before they are incurred.
Prices displayed during checkout, contained in an accepted quote or provided in an order confirmation control over general pricing information elsewhere on the website.
4. Payment
Unless RoadRunner has approved a business account with separate payment terms, payment is due according to the payment instructions displayed during booking or contained in the order confirmation.
RoadRunner may authorize or charge the customer's payment method as part of confirming, dispatching or completing an order.
Card payments may be processed by Stripe or another third-party payment processor.
By submitting payment information, you authorize RoadRunner and its payment providers to process amounts properly due under the applicable order and these Terms.
Approved commercial accounts may be invoiced according to the terms contained in the applicable invoice or separate written business agreement.
Overdue business-account balances may result in suspension of service.
To the extent permitted by law, RoadRunner may recover reasonable costs incurred collecting valid unpaid balances.
Taxes and legally required charges may be added where applicable.
5. Waiting Time, Additional Services and Access
The customer is responsible for ensuring that:
the pickup location is accessible;
the item is ready for collection;
accurate access instructions are provided;
any required loading-area or building authorization is available; and
the recipient can accept delivery or valid delivery instructions have been provided.
Waiting-time charges, return charges, redelivery charges or other additional charges may apply where disclosed in the accepted quote, booking flow or RoadRunner fee schedule.
RoadRunner will not intentionally impose undisclosed discretionary fees after the service has been completed.
6. Failed Pickup or Delivery
If RoadRunner cannot reasonably complete a pickup or delivery because:
the sender or recipient is unavailable;
access is denied;
an address is inaccurate;
required instructions are missing;
the item is not ready;
the item is materially different from what was disclosed; or
another circumstance outside RoadRunner's reasonable control prevents completion,
RoadRunner may attempt to contact the customer for instructions.
RoadRunner may then, as reasonably appropriate:
wait;
reattempt delivery;
return the item;
redirect the delivery;
leave the item at an authorized location; or
cancel the delivery.
Reasonable additional charges arising from the customer's instructions or circumstances outside RoadRunner's control may apply.
7. Cancellation
The cancellation policy displayed when the applicable delivery is booked or quoted controls.
If no specific cancellation policy is displayed:
a customer may cancel without a cancellation charge before RoadRunner has materially committed resources to the delivery;
after a Runner has been assigned or dispatched, RoadRunner may retain or charge a reasonable amount reflecting work already performed, distance traveled and costs incurred; and
after pickup, the delivery charge is considered earned, subject to applicable law.
Additional charges may apply if an item must be returned, redirected, stored or otherwise handled after pickup.
RoadRunner may cancel without liability when a delivery would be unlawful, unsafe, fraudulent, impossible or materially inconsistent with the accepted request.
8. Prohibited and Restricted Items
You may not use RoadRunner to transport unlawful, dangerous or prohibited items.
Unless RoadRunner expressly agrees otherwise in writing and all applicable legal requirements are satisfied, prohibited or restricted items include:
illegal drugs or contraband;
firearms, ammunition or weapons;
explosives;
hazardous, radioactive, toxic, corrosive or highly flammable materials;
stolen property;
unlawful controlled substances;
human remains;
live animals;
regulated biological materials;
items requiring specialized permits or handling;
items whose transportation would violate applicable law.
Certain regulated pharmaceuticals, medical materials, alcohol, age-restricted products, temperature-sensitive products or other regulated goods may be transported only where RoadRunner has expressly approved the service and lawful requirements are satisfied.
You are responsible for truthfully and accurately disclosing what is being transported.
RoadRunner may refuse any package where RoadRunner reasonably believes its contents may be prohibited, unsafe or materially misrepresented.
9. High-Value and Special Items
RoadRunner may provide delivery services for valuables or other special items where specifically accepted.
High-value, fragile, unique, irreplaceable or unusually sensitive items must be disclosed before pickup.
Examples may include:
jewelry;
watches;
collectibles;
fine art;
electronics;
legal or original documents;
precious metals; or
other property whose value materially exceeds an ordinary courier shipment.
Acceptance of a high-value item does not automatically mean RoadRunner has agreed to insure it for its full value.
Any enhanced protection, declared value or special handling must be expressly agreed upon before pickup.
10. Packaging
The sender is responsible for appropriately packaging items for ordinary transportation, movement and handling.
Packaging must be sufficient to protect:
the item;
other property;
the Runner; and
the public.
RoadRunner is not responsible, to the extent permitted by law, for damage resulting from:
inadequate packaging;
internal shifting;
leakage;
inherent defects;
normal deterioration;
ordinary wear;
concealed damage; or
the inherent nature of the item.
Fragile, unusually shaped, unusually heavy or otherwise unusual items must be disclosed before acceptance.
11. Declared Value and Liability Option
Where RoadRunner offers a declared-value or enhanced-liability option, the customer will be given an opportunity before pickup to select the applicable value or protection level and pay any associated charge.
Unless a higher value is properly declared and accepted by RoadRunner, the standard liability level displayed during booking or contained in the applicable delivery agreement applies.
A declared value represents a contractual limit of carrier liability. It is not insurance.
No customer cargo insurance is provided unless RoadRunner expressly states in writing that insurance coverage has been obtained or purchased for the particular delivery.
Where applicable transportation law requires RoadRunner to provide an opportunity to declare a higher value before limiting liability, the limitation will apply only to the extent those legal requirements have been satisfied.
12. Delivery Instructions and Unattended Delivery
The customer is responsible for providing accurate and lawful delivery instructions.
If the customer, sender or recipient authorizes RoadRunner to leave an item:
at a door;
with reception;
at a front desk;
in a mailroom;
with security;
at a loading area; or
at another specified unattended or third-party location,
delivery may be considered completed once the item is delivered to the authorized location and recorded as delivered.
To the extent permitted by law, RoadRunner is not responsible for theft, weather exposure, loss or damage occurring after an authorized unattended delivery has been completed.
RoadRunner may document delivery through:
GPS records;
timestamps;
photographs;
electronic status records;
recipient names;
signatures; or
other reasonable proof-of-delivery information.
13. Delivery Times, Tracking and ETAs
Delivery times, arrival times, maps, tracking information and estimated times of arrival are estimates unless RoadRunner expressly guarantees a particular service level in writing.
Actual delivery times may be affected by:
traffic;
accidents;
weather;
road closures;
construction;
recipient delays;
building access;
mechanical issues;
government restrictions;
communications failures;
third-party system interruptions; or
other circumstances.
Live tracking may depend on GPS devices, mobile networks, third-party mapping systems and other technology.
Tracking or ETA information may occasionally be delayed, unavailable or inaccurate.
14. Loss, Damage and Delay
RoadRunner will exercise reasonable care with accepted property.
Where permitted by applicable law and where the customer has been offered an opportunity to select or declare a higher value, RoadRunner's maximum responsibility for direct physical loss or damage will be limited to the lesser of:
1.
the actual reasonable repair or replacement value of the item;
2.
the properly declared value accepted by RoadRunner; or
3.
the applicable standard liability limit displayed at booking or contained in the applicable order documentation.
If RoadRunner's booking system identifies the standard liability level as $100 per delivery, that amount will be the applicable standard limit unless a higher value has been properly selected and accepted.
Any limitation applies only to the extent enforceable under applicable law.
Where federal or state transportation law requires a different liability method or released-value procedure, that law controls.
RoadRunner is not responsible, to the extent permitted by law, for damage or loss caused by:
inadequate packaging;
inherent defect or deterioration;
undisclosed contents;
prohibited items;
inaccurate customer instructions;
acts or omissions of the sender or recipient;
authorized unattended delivery;
events outside RoadRunner's reasonable control; or
loss occurring before RoadRunner receives custody or after delivery has been completed.
Except where prohibited by law, RoadRunner will not be responsible for indirect or consequential damages such as:
lost profits;
lost revenue;
lost business;
lost opportunity;
loss of use;
reputational harm; or
punitive or exemplary damages.
For a claim based solely on delay, RoadRunner's liability will not exceed the delivery charge actually paid for the affected delivery unless applicable law requires otherwise.
Nothing in these Terms limits liability that legally cannot be limited, including liability arising from fraud, intentional misconduct or conversion.
15. Claims
Claims concerning loss, damage, injury to property or delay must be submitted in writing to contact@roadrunner24.com.
A claim should include:
the RoadRunner order number;
claimant name and contact information;
description of the claim;
photographs where appropriate;
photographs of packaging where appropriate;
proof of value;
repair or replacement documentation; and
the specific amount claimed.
Customers should report visible damage promptly so RoadRunner has a reasonable opportunity to investigate.
Where legally permitted, written cargo claims must be received within nine months after delivery or, if the item was not delivered, within nine months after a reasonable period for delivery has elapsed.
If applicable law provides a longer mandatory period, that mandatory period controls.
Submitting a claim does not guarantee reimbursement.
RoadRunner may reasonably request additional documentation needed to investigate the claim.
16. Returns and Undeliverable Property
Where a delivery cannot be completed, RoadRunner may return the item to the sender or otherwise follow reasonable customer instructions.
The customer is responsible for reasonable return, redelivery, storage or additional transportation expenses unless the failed delivery resulted solely from RoadRunner's error.
RoadRunner is not obligated to store undeliverable property indefinitely.
17. Customer Representations and Responsibilities
By requesting service, you represent that:
information supplied to RoadRunner is materially accurate;
you have authority to send the property;
transportation of the property is lawful;
the item is appropriately packaged;
pickup and delivery information is accurate;
necessary permissions have been obtained;
you have disclosed unusual risks; and
the delivery does not violate these Terms.
You remain responsible for the contents of packages you tender to RoadRunner.
18. Business Customers
Businesses are responsible for employees, agents and authorized account users who place RoadRunner orders on their behalf.
To the maximum extent permitted by law, a business customer will defend, indemnify and hold harmless the RoadRunner Protected Parties from third-party claims arising from:
unlawful or prohibited contents supplied by that business;
materially inaccurate shipment information;
the business's violation of law;
infringement caused by materials supplied by the business;
unsafe packaging;
unauthorized delivery instructions; or
bodily injury or property damage caused by the inherent nature of an item the business failed to disclose.
This provision does not require indemnification for liability that applicable law prohibits a party from shifting.
19. RoadRunner Technology
RoadRunner may provide:
websites;
customer dashboards;
web applications;
mobile applications;
live-tracking tools;
APIs;
integrations;
AI-enabled functionality;
automated notifications; and
other logistics technology.
You may use RoadRunner technology only for lawful purposes associated with RoadRunner services.
You may not:
gain unauthorized access;
interfere with platform operation;
scrape protected data;
reverse engineer proprietary software except where legally permitted;
attempt to bypass security;
resell unauthorized access; or
use the technology to harm RoadRunner or third parties.
RoadRunner may modify, improve, replace or discontinue technology features from time to time.
20. Artificial Intelligence and Automated Features
RoadRunner may use artificial intelligence or automated systems to assist with:
routing;
dispatch;
customer support;
operational reporting;
delivery estimates;
analytics;
notifications; and
other logistics functions.
AI-generated information and automated recommendations may contain errors and should not be treated as a legal, financial or safety guarantee.
Operational decisions may remain subject to human review where appropriate.
21. Third-Party Technology and Services
RoadRunner may use third parties for:
payment processing;
dispatch technology;
mapping;
GPS tracking;
SMS and email;
cloud hosting;
communications;
analytics;
delivery networks;
APIs;
artificial intelligence; and
other business functions.
Third-party services may be governed by their own terms and privacy policies.
RoadRunner is not responsible for temporary failures of third-party systems outside RoadRunner's reasonable control.
RoadRunner will make commercially reasonable efforts to restore affected functionality or otherwise manage active deliveries.
22. Electronic Communications
By supplying a telephone number or email address in connection with a RoadRunner transaction, you consent to transactional communications relating to that transaction, including:
order confirmations;
pickup notices;
Runner assignment;
ETA updates;
live-tracking links;
delivery alerts;
support communications; and
proof-of-delivery notices.
Message and data rates may apply.
Transactional communications are separate from promotional marketing.
Promotional messages will be sent only where permitted by applicable law and subject to any legally required consent.
23. Accounts and Security
You are responsible for keeping account credentials secure.
You are responsible for activity conducted using your authorized account unless you promptly notify RoadRunner of suspected unauthorized access.
RoadRunner may suspend or restrict accounts where fraud, abuse, security compromise or unlawful activity is suspected.
24. Intellectual Property
The ROADRUNNER® trademark and associated trademark rights are owned by Incontestable Holdings LLC.
Certain other software, content, designs, technology and intellectual property may be owned by RoadRunner Operations LLC or third-party licensors.
Nothing in these Terms transfers ownership of any RoadRunner intellectual property to the customer.
The customer receives only the limited right necessary to use RoadRunner services and technology as intended.
Unauthorized copying, imitation, commercial exploitation or misuse of ROADRUNNER® branding or proprietary RoadRunner technology is prohibited.
25. Corporate Separateness
RoadRunner Operations LLC and Incontestable Holdings LLC are separate legal entities.
RoadRunner Operations LLC operates the delivery and logistics business.
Incontestable Holdings LLC owns and manages intellectual-property assets.
The use of common branding, websites, personnel, technology, addresses, service providers, communications or ownership interests does not by itself merge the companies or make one responsible for the obligations of the other.
No provision of these Terms creates a service contract between the customer and Incontestable Holdings LLC.
26. RoadRunner Protected Parties
For purposes of provisions concerning releases, limitations of liability, indemnification, intellectual property and disclaimers, "RoadRunner Protected Parties" means, as applicable:
RoadRunner Operations LLC;
Incontestable Holdings LLC;
their lawful affiliates;
owners;
members;
managers;
officers;
employees;
agents;
Runners;
contractors;
technology providers;
licensors; and
successors and permitted assigns.
Each protected party receives the benefit of these provisions only to the maximum extent permitted by applicable law.
27. General Limitation of Liability
Except for transported-property claims governed by Section 14, and to the maximum extent permitted by law, the aggregate liability of the RoadRunner Protected Parties arising from a particular RoadRunner transaction will not exceed the amount paid to RoadRunner for that transaction.
This limitation does not apply to liability that cannot legally be limited.
No provision of these Terms is intended to waive a consumer right that applicable law makes non-waivable.
28. No Customer Cargo Insurance Unless Expressly Provided
RoadRunner's business, commercial, automobile, cargo or other insurance policies, if any, exist for the benefit and protection of the insured parties under those policies.
They do not automatically make a customer an insured or additional insured.
Nothing on the website or in these Terms constitutes an insurance policy.
Customer insurance exists only where specifically stated in writing for the applicable transaction.
29. Force Majeure
RoadRunner will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:
severe weather;
natural disasters;
wildfire;
flooding;
earthquakes;
accidents;
road closures;
civil emergencies;
government action;
strikes;
utility outages;
telecommunications failures;
cyber incidents;
GPS failures;
third-party technology outages; or
similar circumstances.
RoadRunner will use commercially reasonable efforts to manage affected active deliveries.
30. Household-Goods Moving and Other Regulated Transportation
These general Terms are principally intended for courier, local delivery and logistics services.
RoadRunner does not accept a regulated household-goods move under these general Terms where applicable law requires a household-mover license, regulated estimate, moving agreement, bill of lading, valuation election, consumer disclosure or other specialized documentation.
Any household-goods moving service subject to special transportation regulation must be separately accepted under the legally required documents and procedures.
The specific regulated agreement will control to the extent it conflicts with these general Terms.
Nothing in these Terms waives customer rights imposed by household-goods moving or transportation statutes.
31. Privacy
RoadRunner's handling of personal information is governed by its Privacy Policy available on RoadRunner24.com.
32. Suspension and Refusal of Service
RoadRunner may refuse, suspend or terminate service or account access where RoadRunner reasonably believes there is:
fraud;
nonpayment;
unlawful activity;
prohibited transportation;
misuse of the platform;
threats or abusive conduct;
repeated violation of these Terms;
material safety risk; or
material risk to RoadRunner, its Runners or third parties.
Valid outstanding charges remain payable.
33. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where mandatory federal law or mandatory law of another jurisdiction applies.
For transactions with business customers, any court proceeding concerning these Terms will, to the extent legally permitted, be brought in a state or federal court having jurisdiction in Clark County, Nevada.
For individual consumers, governing-law and venue provisions apply only to the extent permitted by applicable consumer-protection law.
Nothing prevents an eligible matter from being brought in small claims court.
34. No Mandatory Arbitration Under These General Terms
These general Terms do not require mandatory arbitration.
If RoadRunner later elects to offer or require arbitration for a particular agreement, any arbitration provision will be presented separately and accepted in the manner required by applicable law.
35. Electronic Acceptance
You agree that RoadRunner transactions may be conducted electronically.
Your electronic acceptance, checkbox, digital signature, account action, order submission or other electronic act intended to signify agreement may constitute your acceptance of these Terms to the extent permitted by applicable law.
RoadRunner may retain:
the Terms version accepted;
acceptance date and time;
account information;
order number;
electronic transaction records; and
other reasonable evidence of acceptance.
Electronic records may be retained in a form capable of later reproduction.
36. Changes to These Terms
RoadRunner may update these Terms from time to time.
The version in effect when RoadRunner accepts a delivery generally governs that delivery.
The effective date is displayed at the beginning of these Terms.
Material changes affecting ongoing registered-account relationships may also be communicated through the website, application or account contact information where appropriate.
37. Order of Precedence
If documents conflict, the following order generally controls:
1.
a separately signed written business or regulated transportation agreement;
2.
the accepted RoadRunner quote or order confirmation;
3.
special terms clearly presented for the particular service;
4.
these Terms; and
5.
general informational content elsewhere on RoadRunner's website.
38. Entire Agreement
These Terms, together with the applicable order, accepted quote, Privacy Policy and any expressly incorporated written terms, constitute the agreement concerning the applicable RoadRunner service.
Representations not included in those materials do not modify the agreement unless RoadRunner agrees to the modification in writing.
39. Severability
If a court determines that a provision of these Terms is invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible and the remaining provisions will remain in effect.
40. No Waiver
RoadRunner's failure to enforce a provision on one occasion does not waive its right to enforce that provision later.
41. Assignment
Customers may not transfer their rights or obligations under these Terms without RoadRunner's written consent.
RoadRunner Operations LLC may assign or transfer its rights and obligations in connection with:
a merger;
acquisition;
corporate reorganization;
sale of assets;
financing transaction;
transfer to an affiliate; or
business succession,
subject to applicable law.
Nothing in this section transfers ownership of the ROADRUNNER® trademark unless Incontestable Holdings LLC separately agrees in writing.
42. Survival
Provisions that by their nature should survive completion or termination of a delivery will survive, including provisions concerning:
payment;
claims;
liability;
intellectual property;
indemnification;
corporate separateness;
dispute-related provisions; and
ownership rights.
